Comment pouvons-nous les pr\u00e9parer au mieux alors que je suis encore impliqu\u00e9?\u00a0\u00bb<\/strong><\/p><\/blockquote>\n<p>En tant qu&rsquo;entrepreneur prosp\u00e8re, vous avez probablement r\u00eav\u00e9 de voir vos enfants prendre les r\u00eanes de tout ce que vous avez construit. Oui, malgr\u00e9 les ann\u00e9es pass\u00e9es \u00e0 imaginer leur r\u00e9ussite, vous vous interrogez peut-\u00eatre encore sur leur \u00e9tat de pr\u00e9paration et leurs capacit\u00e9s, en particulier si la transition implique un partenariat entre fr\u00e8res et s\u0153urs.<\/p>\n<p>Le transfert de l&rsquo;entreprise \u00e0 la g\u00e9n\u00e9ration suivante n\u00e9cessite une planification minutieuse. Comment favoriser un partenariat fructueux entre fr\u00e8res et s\u0153urs et \u00e9tablir des structures de propri\u00e9t\u00e9 et de r\u00e9mun\u00e9ration qui refl\u00e8tent les contributions uniques de chacun d&rsquo;entre eux? Chez Richter, nous avons guid\u00e9 de nombreux clients dans cette d\u00e9marche.<\/p>\n<p><strong>Le d\u00e9fi<\/strong><\/p>\n<p>Notre client, entrepreneur prosp\u00e8re et p\u00e8re de cinq enfants, \u00e9tait confront\u00e9 \u00e0 la t\u00e2che complexe de planifier la rel\u00e8ve et de pr\u00e9parer ses enfants \u00e0 g\u00e9rer l&rsquo;entreprise familiale. Apr\u00e8s avoir suivi des parcours \u00e9ducatifs et professionnels individuels, quatre des fr\u00e8res et s\u0153urs se sont unis \u00e0 leur p\u00e8re pour former un bureau familial, o\u00f9 chacun apportait des forces distinctes et une contribution unique. Lors de la cr\u00e9ation de l&rsquo;entreprise, le p\u00e8re a conserv\u00e9 la majorit\u00e9 des pouvoirs de d\u00e9cision. Au fil du temps, il a cherch\u00e9 \u00e0 cr\u00e9er des structures de soutien qui lui permettraient de prendre du recul tout en permettant aux fr\u00e8res et s\u0153urs de collaborer efficacement pour les ann\u00e9es \u00e0 venir.<\/p>\n<p>Bien que les relations entre fr\u00e8res et s\u0153urs soient solides, de vieilles dynamiques familiales refont parfois surface lors des discussions professionnelles. En l&rsquo;absence d&rsquo;un cadre clair de communication et d&rsquo;attentes, cette situation risquait de nuire \u00e0 leur r\u00e9ussite.<\/p>\n<p><strong>La solution<\/strong><\/p>\n<p>Pour soutenir cette famille, notre approche comprenait les actions cl\u00e9s suivantes :<\/p>\n<ul>\n<li><strong>Faciliter les discussions familiales :<\/strong> Richter a facilit\u00e9 les discussions individuelles et collectives afin d&rsquo;identifier les conditions n\u00e9cessaires \u00e0 l&rsquo;\u00e9tablissement d&rsquo;un partenariat solide entre fr\u00e8res et s\u0153urs.<\/li>\n<li><strong>Cr\u00e9ation d&rsquo;un cadre de gouvernance : <\/strong>Gr\u00e2ce \u00e0 des conversations cibl\u00e9es, nous avons \u00e9tabli un cadre de gouvernance pour soutenir le partenariat entre fr\u00e8res et s\u0153urs actionnaires. Ce cadre tient compte de l&rsquo;ensemble des priorit\u00e9s de la famille et de l&rsquo;entreprise, y compris la r\u00e9mun\u00e9ration, les param\u00e8tres et les politiques de sortie, les rapports sur les secteurs d&rsquo;activit\u00e9 et les consid\u00e9rations en mati\u00e8re d&rsquo;investissement, ainsi qu&rsquo;un plan d\u00e9fini pour d\u00e9limiter les questions relatives \u00e0 l&rsquo;entreprise et \u00e0 l&rsquo;actionnariat de mani\u00e8re \u00e0 tenir inform\u00e9 le quatri\u00e8me actionnaire de la fratrie, qui n&rsquo;est pas impliqu\u00e9.<\/li>\n<li><strong>\u00c9valuation globale :<\/strong> En nous appuyant sur notre expertise en mati\u00e8re de capital humain, nous avons \u00e9valu\u00e9 les ressources en talents familiaux et professionnels de l&rsquo;entreprise, en identifiant les principales lacunes en mati\u00e8re de soutien et en d\u00e9finissant les r\u00f4les qui pourraient \u00eatre abord\u00e9s par le biais d&rsquo;un recrutement interne ou d&rsquo;une expertise externe. Le processus de recrutement et de transition associ\u00e9 a \u00e9galement \u00e9t\u00e9 soutenu pour ces r\u00f4les cl\u00e9s.<\/li>\n<li><strong>Conseil consultatif :<\/strong> Nous avons cr\u00e9\u00e9 un conseil consultatif pour soutenir l&rsquo;ensemble de l&rsquo;entreprise, ce qui permet aux fr\u00e8res et s\u0153urs de prendre collectivement des d\u00e9cisions \u00e9clair\u00e9es, tout en permettant au p\u00e8re de passer d&rsquo;un r\u00f4le actif dans la gestion quotidienne \u00e0 un r\u00f4le de pr\u00e9sident du conseil ax\u00e9 sur l&rsquo;intendance.<\/li>\n<\/ul>\n<p>Tout au long de ce processus, nous avons donn\u00e9 la priorit\u00e9 au maintien de la dynamique familiale positive qui motivait les fr\u00e8res et s\u0153urs \u00e0 travailler ensemble. L&rsquo;esprit d&rsquo;entreprise insuffl\u00e9 par leurs parents \u00e9tait inestimable, mais il \u00e9tait essentiel de s&rsquo;assurer que les fr\u00e8res et s\u0153urs \u00e9taient r\u00e9ellement pr\u00e9par\u00e9s \u00e0 g\u00e9rer l&rsquo;entreprise familiale et \u00e0 d\u00e9finir des attentes mutuelles en tant qu&rsquo;actionnaires.
